Bylaw
Modifications
Below are the current proposed changes to the club bylaws. The specific section is listed showing what it states now, and what the modification would look like. Per the bylaw modification procedure, described in section 7.01C, the change is posted in the newsletter for all members review, for a minimum three weeks prior to the board voting on the modification. Please read and contact any board member regarding questions and comments. All modifications will be voted on in the April board meeting.

Replace JANUARY,
2001 with Revised 2000-2001,
Revised 2002-2003 in the title.
Add
to section 1.01, A. by conducting
sound
business/management decisions.
This will change the
sentence from "... in the community and
elsewhere." to
"... in the community and elsewhere using
sound
business/management decisions."
Add
to Section 1.01, B. 6. Maintain
a financial threshold
that will provide for all club functions
and strive to
increase assets.
Section
3.05, A., add vote by the
after the word majority
in the sentence. This will read Approval
of any policy,
motion, or proposition placed before
the Board of
Directors shall require a simple majority
vote by the
Board of Directors present at the
meeting, provided a
quorum is present, or unless otherwise
specified in these
Bylaws.
Add
to Section 3.05, A.3., in a new sentence, If
decision
involves members rights or qualifications
then a 2/3 vote
is required.
Add
to Section 3.05, A. 4., to the end of the sentence,
and
the absentee vote is valid only to the specific matter
previously pending.
Section 4.01 C., change within
3 years to immediately
and insert the word full
between one term. The
sentence
will now read However
no person can run for the office of
President unless that person has been
an
annual/honorary life member in good
standing for one (1)
year immediately prior to election
and has held a position
on the Board for at least one full
term immediately prior to the election.
Add to Section 5.01 under the heading Appointed

Section 5.01 A., delete in the last sentence for
at least six (6) months immediately preceding the new term.

and consider equal to an appointed director as stated with these bylaws
with the two exceptions: 1. Coordinators
do not have a vote in Board Meetings. 2. Are not required to attend
Board meetings.
Section 6.02, add D.
The Henderson Foundation is established for donations only. Transactions
are to be
recorded as to the date, amount, and
donator. Funds are to be kept separate from the general fund and other
savings accounts, and requires an
unanimous vote by the Board of Directors for withdrawals and use. All
manipulation transactions must be
recorded. The IRS tax ID number is to be given to the donator, after funds
are
accountable, for tax benefit purposes.
Section 6.03, add B.
If a non sufficient funds (NSF) check is issued to the TSDC, the check
issuer shall be liable
for all current fees assessed the
club plus the amount owed on the check.
